Software licence
The agreement on which Murgese is licensed. It is the document the installer shows you and the one you accept inside the software, published here so you can read it before you download anything.
Before you read it
This is version 2.4, August 2026. It is the same text the installer puts in front of you and the same text the software asks you to accept on first run, produced from one source rather than copied here by hand.
Clause 8 is the warranties, clause 9 the limit on our liability and clause 10 the indemnity. They are the ones worth reading first, and the document says so itself at the top.
Your arrangement for price, support and duration is in this agreement if you bought direct. If an accountancy firm supplied your licence, those things are between you and that firm, and this agreement still governs your use of the software.
15KB, the same document in the form the installer shows it.
IMPORTANT: READ THIS BEFORE INSTALLING
This is a legally binding contract between you and Murgese Ltd. By installing, copying or using the Software you confirm that you accept it. If you do not accept it, do not install or use the Software.
Your attention is drawn in particular to clause 8 (No warranties), clause 9 (Limitation of liability) and clause 10 (Indemnity), which limit our liability to you and, if you are a business, require you to indemnify us in certain circumstances.
1. Definitions and interpretation
1.1 In this Agreement:
"Agreement" means this end user licence agreement, as amended under clause 14.
"Data" means all information you enter into, generate within, or store using the Software, including information relating to your clients, their customers, suppliers and employees.
"Documentation" means the help content supplied within the Software.
"Intellectual Property Rights" means patents, rights to inventions, copyright and related rights, trade marks, business names, goodwill, rights in designs, database rights, rights in confidential information, and all other intellectual property rights, whether registered or unregistered, including all applications for such rights.
"Open Source Components" means the third-party software components distributed with the Software under open source licences.
"Output" means any account, report, statement, return, invoice or other document produced by the Software.
"Software" means Murgese in object code form, including any updates supplied to you, and the Documentation.
"we", "us", "our" means Murgese Ltd, a company registered in England and Wales with company number 13464940, whose registered office is at C/O Nexus Accounting Services Ltd, 7 Joshua Close, Coventry, England, CV4 9DB.
"you", "your" means the person or organisation accepting this Agreement.
1.2 Clause headings do not affect interpretation. A reference to legislation includes that legislation as amended or re-enacted. "Including", "in particular" and similar expressions are illustrative and do not limit the words preceding them.
2. How to contact us
2.1 You can contact us at legal@murgese.co.uk, or in writing at C/O Nexus Accounting Services Ltd, 7 Joshua Close, Coventry, England, CV4 9DB.
3. Formation
3.1 This Agreement takes effect when you first install or use the Software and continues until terminated under clause 13.
3.2 If you accept this Agreement on behalf of a company, partnership or other organisation, you warrant that you have authority to bind it, and "you" means that organisation.
4. Licence
4.1 We grant you a non-exclusive, non-transferable, revocable, royalty-free licence to install and use the Software on computers under your control, for your own internal bookkeeping and accounting purposes and, where you are an accountancy practice, for the purposes of services you provide to your clients.
4.2 The licence is personal to you. You may not sub-licence, assign, rent, lend, sell or otherwise transfer the Software or any rights under this Agreement.
4.3 You may make a reasonable number of copies of the Software for backup purposes.
5. Restrictions
5.1 Except to the extent permitted by law which cannot be excluded by agreement, you must not:
(a) copy the Software other than as permitted by clause 4.3;
(b) decompile, reverse engineer or disassemble the Software, or attempt to derive its source code;
(c) modify, adapt or create derivative works of the Software;
(d) remove, obscure or alter any proprietary notice, trade mark or branding within the Software;
(e) make the Software available to any third party, whether by hosting it as a service, redistributing it, or otherwise; or
(f) use the Software unlawfully or in any manner that damages our reputation.
5.2 Clause 5.1(b) does not restrict any right you have under section 50B or section 50BA of the Copyright, Designs and Patents Act 1988.
5.3 You must notify us promptly if you become aware of any unauthorised use of the Software.
6. Intellectual property
6.1 The Software is licensed, not sold. All Intellectual Property Rights in the Software belong to us or to our licensors. Nothing in this Agreement transfers any of them to you.
6.2 All Intellectual Property Rights in your Data and in the Output belong to you. We claim no rights over them and, as set out in clause 11, we do not receive them.
6.3 The Software incorporates Open Source Components, licensed to you under their own terms and not under this Agreement. Where an open source licence conflicts with this Agreement, that licence prevails in respect of the component it covers. Nothing here restricts any right you have under an open source licence.
7. Supplied free of charge
7.1 The Software is supplied at no cost. You acknowledge that the allocation of risk in clauses 8, 9 and 10 reflects that, and that we would not make the Software available on any other basis.
7.2 We are not obliged to provide support, maintenance, updates or error correction, or to continue making the Software available. Any support we do provide is at our discretion and subject to this Agreement.
7.3 Where we do make an update available, installing it is your decision and your responsibility. The Software will not install an update that it cannot verify as ours, and you acknowledge that an installation left on an older version may lack corrections present in a later one.
8. No warranties
8.1 The Software is provided "as is" and "as available".
8.2 To the fullest extent permitted by law, all warranties, conditions and other terms implied by statute or common law are excluded, including any implied terms as to satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.
8.3 We do not warrant that:
(a) the Software will be free from defects or will operate without interruption;
(b) any Output is accurate, complete or compliant with any legal, regulatory or accounting requirement; or
(c) the Software reflects the accounting standards, tax rates or filing requirements in force at any time.
8.4 The Software does not constitute accounting, tax, audit, financial or legal advice. Using it does not create a professional or client relationship between you and us.
8.5 Without limiting clause 8.4:
(a) you are responsible for the accuracy of everything recorded in the Software and for every figure in any Output;
(b) all Output, including year-end statutory accounts and tax computations, is a draft for your review and must be checked by a suitably qualified person before being relied upon, signed, filed with Companies House or HM Revenue & Customs, or provided to any third party;
(c) the Software does not file anything with any authority on your behalf; and
(d) the Software does not monitor, and gives no assurance as to, your compliance with any filing deadline or statutory duty. Where the Software displays a date taken from a public register, that date is information only and must be verified independently.
9. Limitation of liability
9.1 Nothing in this Agreement limits or excludes our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability which cannot lawfully be limited or excluded.
9.2 Subject to clause 9.1, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:
(a) loss of profit, revenue, business, contracts or anticipated savings;
(b) loss of or damage to Data, or the cost of reconstituting it;
(c) loss of goodwill or reputation;
(d) fine, penalty, interest or surcharge imposed by any regulatory or tax authority; or
(e) indirect or consequential loss,
in each case however arising and whether or not foreseeable.
9.3 Subject to clause 9.1, our total aggregate liability arising out of or in connection with this Agreement or the Software, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed one hundred pounds (£100).
9.4 You acknowledge that the limitations in this clause are reasonable having regard to the fact that the Software is supplied free of charge, that you retain sole control of your Data, and that you are able to insure against the risks in question.
9.5 Nothing in this Agreement affects the statutory rights of a consumer. If you are a consumer, some of the exclusions in clauses 8 and 9 may not apply to you.
10. Indemnity
10.1 If you use the Software in the course of a business, you shall indemnify us against all liabilities, costs, expenses, damages and losses (including reasonable legal fees) suffered or incurred by us arising out of or in connection with:
(a) any claim brought by a third party arising from your use of the Software or of any Output; and
(b) your breach of clause 5 or clause 11.
10.2 This clause does not apply where you are a consumer.
11. Your Data, and your backups
11.1 The Software stores your Data on equipment under your control. We do not receive, access, hold or process it. The Privacy Notice explains this in full.
11.2 You are solely responsible for keeping backups of your Data and for the security of the equipment on which it is stored. The Software includes a backup feature; enabling it, verifying that it works, and keeping a copy in a separate location are your responsibility.
11.3 Subject to clause 9.1, we are not liable for any loss of or damage to Data however caused, including loss resulting from equipment failure, theft, malicious software, a failed or absent backup, a forgotten password or recovery code, or deletion by you.
11.4 Where your Data includes personal data relating to other people, you are the controller of that personal data for the purposes of the UK GDPR and the Data Protection Act 2018, and you are responsible for complying with your obligations as controller. We are not a processor of that personal data, because we do not receive it.
11.5 The Software makes no connection to us in the ordinary course of its operation. The only exception is a check for a new version, which is made when you ask for one from the Help menu, or once a day if you switch that on under File, Setup and sharing, which is off unless you do. Such a check transmits the version number and the edition of the Software you are running and nothing else. It transmits no part of your Data. You may run the Software indefinitely without it making any connection at all, and an update can be installed from a file instead.
11.6 Where you have enabled the option allowing colleagues to use the Software from their own computers, the computer holding your Data may make an update available to those computers over your own network. Those computers obtain it from that computer and not from us.
12. Third-party services
12.1 The Software can be configured to retrieve information from third-party services, including the Companies House public data service. Use of any such service is subject to that provider's own terms, and obtaining any credential it requires is your responsibility.
12.2 We are not responsible for the availability, accuracy or completeness of information supplied by a third-party service.
13. Termination
13.1 You may terminate this Agreement at any time by ceasing to use the Software and removing it from your equipment.
13.2 We may terminate this Agreement immediately on written notice if you commit a material breach of it.
13.3 On termination the licence in clause 4 ends and you must stop using the Software. Your Data remains yours and on your equipment; termination does not require you to delete it.
13.4 Clauses 1, 6, 8, 9, 10, 11 and 15 to 22 survive termination.
14. Changes to this Agreement
14.1 We may amend this Agreement. Where we do, the Software will present the amended version and ask you to accept it.
14.2 If you do not accept an amended version you may terminate under clause 13.1. Continuing to use the Software after an amended version has been presented constitutes acceptance of it.
15. Entire agreement
15.1 This Agreement constitutes the entire agreement between us in relation to the Software and supersedes all previous agreements, representations and understandings relating to it.
15.2 You acknowledge that you have not relied on any statement or representation not set out in this Agreement. Nothing in this clause limits liability for fraudulent misrepresentation.
16. Severance
16.1 If any provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be deemed deleted. Any modification or deletion under this clause does not affect the remainder of the Agreement.
17. Waiver
17.1 No failure or delay in exercising a right or remedy operates as a waiver of it, and no single or partial exercise prevents any further exercise.
18. Assignment
18.1 You may not assign, transfer, charge or otherwise deal with this Agreement or any of your rights under it without our prior written consent.
18.2 We may assign or transfer this Agreement, including on a sale or reorganisation of our business.
19. Third-party rights
19.1 A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
20. Force majeure
20.1 We are not liable for any failure or delay in performing our obligations under this Agreement to the extent it results from an event beyond our reasonable control.
21. Notices
21.1 Notices to us must be sent to legal@murgese.co.uk or to C/O Nexus Accounting Services Ltd, 7 Joshua Close, Coventry, England, CV4 9DB. Notices to you may be given within the Software or to any email address you have provided.
22. Governing law and jurisdiction
22.1 This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter (including non-contractual disputes or claims), is governed by and construed in accordance with the law of England and Wales.
22.2 The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the United Kingdom in which you live.
